SHAREHOLDERS of Australia's largest lamb processor will vote next month to decide whether the company should be sold to Coles.

CRF meatworks in Colac employs more than 300 people and processes about 1.2 million lambs a year.

The Weekly Times revealed earlier this month that Coles threatened to stop buying lamb, if the business was bought by a rival local consortium.

CRF board chairman Allan McCallum said lawyers were finalising the asset sale agreement and information would be given to shareholders.

He said a shareholder meeting was likely to be held at the end of May or the first week of June.

Mr McCallum said Coles' bid included an offer to employ all workers at the Colac plant.
